1. Acceptance of Terms

By accessing or using SupplyCircle's platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms apply to all users of our order and inventory management platform that connects Ontario retailers with local manufacturers and suppliers.

2. Description of Service

SupplyCircle provides a business-to-business platform that:

• Connects Ontario retailers with local manufacturers and suppliers
• Facilitates order and inventory management
• Provides 3rd party business applications and integrations
• Enables business networking and relationship management
• Currently operates as a closed beta program

3. Closed Beta Program

SupplyCircle is currently operating in a closed beta program. By participating in the beta:

• You acknowledge the platform is in development and testing
• Features may change or be discontinued without notice
• Service availability is not guaranteed
• You may be asked to provide feedback and testing assistance
• Additional beta-specific terms may apply

4. User Accounts and Eligibility

Eligibility

To use our platform, you must:

• Be at least 18 years old
• Represent a legitimate business entity
• Be located in Ontario, Canada
• Have the authority to bind your organization to these Terms

Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and current information
• Promptly notifying us of any unauthorized access

5. Acceptable Use

You agree not to:

• Use the platform for any illegal or unauthorized purpose
• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or attempt to disrupt the service
• Access other users' accounts or data without permission
• Use automated tools to scrape or collect data
• Interfere with the platform's operation or security
• Share your account access with unauthorized parties

6. Business Transactions

Platform Role

SupplyCircle facilitates connections between businesses but is not a party to transactions between users. We do not:

• Guarantee the quality, safety, or legality of products
• Verify the accuracy of listings or business information
• Control the timing or quality of transactions
• Resolve disputes between business partners

User Responsibilities

When conducting business through our platform:

• You are solely responsible for your business relationships
• All contracts and agreements are between you and other users
• You must comply with applicable business and tax laws
• You assume all risks associated with transactions

7. Payment and Billing

For paid services:

• Setup fees may apply for onboarding and configuration
• Subscription fees are billed according to your plan
• 30-day trial periods may be available for qualified users
• Payment is due according to the agreed schedule
• Late payments may result in service suspension
• Refunds are provided according to our refund policy

8. Intellectual Property

Our Rights

SupplyCircle owns all rights to the platform, including software, designs, trademarks, and content we create.

Your Content

You retain ownership of content you upload but grant us a license to use it for platform operations. You represent that you have the right to share all content you provide.

9. Privacy and Data

Your use of our platform is also governed by our Privacy Policy. We collect, use, and protect your information as described in that policy.

10. Disclaimers and Limitations

Service Disclaimer

The platform is provided "as is" without warranties of any kind. We do not guarantee uninterrupted service, complete accuracy, or fitness for any particular purpose.

Limitation of Liability

SupplyCircle's liability is limited to the maximum extent permitted by law. We are not liable for indirect, incidental, or consequential damages arising from your use of the platform.

11. Termination

Either party may terminate the agreement with appropriate notice. We may suspend or terminate accounts for violation of these Terms. Upon termination:

• Your access to the platform will be discontinued
• We may delete your account and data
• Outstanding obligations remain in effect
• Certain provisions survive termination

12. Governing Law

These Terms are governed by the laws of Ontario, Canada. Any disputes will be resolved in the courts of Ontario.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated with appropriate notice. Continued use of the platform after changes constitutes acceptance of the new Terms.
